Basis of the Sale
Any typographical, clerical, or other error or omission in any sales literature, quotation, price list, acceptance of order, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller.
Any advice or recommendation given by the Seller or its employees or agents to the Buyer or its employees or agents as to the storage, application or use of the goods which is not confirmed in writing by the Seller is followed or acted upon entirely at the Buyer’s own risk and accordingly the Seller shall not be liable for any such advice or recommendation which is not so confirmed.
Cancellation and Amendments
- The Buyer may cancel or amend all orders 5 days before the selected delivery date with no cancellation fee.
- The Buyer will be liable for a 20% cancellation fee 2 – 4 days before the selected delivery date.
- The Buyer may reduce the order by no more than 20% per line item 2 – 4 days before the selected delivery date. There is no limit or restriction if goods are added to the order.
- The Buyer is liable for the full order 0 – 2 days before the selected delivery date.
Upward amendments may be made up till 06:00 the day before the selected delivery date.
Please note: if delivery is selected for Thursday. Any time after 06:00 on Tuesday is regarded as 0 – 2 days before selected delivery day. Any time before 06:00 on Tuesday is regarded as 2 – 4 days before selected delivery day.
Delivery
Delivery of goods shall be made by the Seller to the Buyers’ selected collection point at the Sellers selected notified time unless collection on farm has been selected by the Buyer as collection point. The Seller will notify the Buyer when flowers are ready for collection on the farm. The Buyer will be liable for the cost to deliver the ordered goods.
Due to the uncontrollable nature of traffic, the Seller reserves the right to change collection times.
Buyers will be notified in advance of all changes to collection times.
Buyers are required to be on time for collection at selected collection points. If buyers are late for collection or cannot make a collection at the selected collection point at the notified time. it is their responsibility to contact Adene’s Farm Flowers and arrange an alternative collection point. Buyers who fail to collect goods will be liable for the full amount of the goods ordered.
Due to the nature of flower farming the Seller is not liable for costs incurred by the Buyer for goods ordered which cannot be delivered. The Seller will give the Buyer advanced notice of goods ordered which cannot be delivered and will after consultation with the Buyer endeavour to replace or substitute goods ordered.
Goods to be couriered
If goods are to be couriered the Seller will deliver the goods to the Buyers selected air freight forwarding company. If the Buyer does not have an account with an air freight forwarding company, the Seller will select an air freight forwarding company. The Buyer will incur the cost to courier and said cost will be added to the Buyers invoice.
All road couriered goods will be couriered with ST Couriers. All Buyers categorized as Florists and repeat Buyers are required to open accounts with Courier companies after consultation with the Seller.
The Seller will not be liable for any costs incurred by the Buyer as a result of delays or errors by the freight forwarding company.
Non-perishable goods
Any dates quoted for delivery of non-perishable Goods are approximate only and the Seller shall not be liable for any delay in delivery of the Goods. Time of delivery shall not be of the essence unless previously agreed by the Seller in writing. The goods may be delivered by the Seller in advance of the quoted delivery date. The Seller shall be entitled to make part delivery of the Goods at any time.
Price of Goods
All prices listed on the website are inclusive of value added tax (vat). Buyers categorized as florists and wholesalers are entitled to further discounts. The Seller reserves the right to categorize Buyers as either Florists and/or Wholesalers.
The Seller reserves the right by giving notice to the Buyer at any time before delivery to increase the price of the Goods to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller or to any change in delivery dates, quantities or specifications for the Goods which is requested by the Buyer.
The Seller further reserves the right to de-categorize Buyers as Florists and/or Wholesalers at the Seller’s discretion after notice has been given to the Buyer of such de-categorization.
Terms of Payment
Subject to any special terms agreed in writing between the Buyer and the Seller, the Seller shall be entitled to invoice the Buyer for the price of the Goods at any time before or after delivery of the Goods.
Invoices are payable 24hrs after the delivery of Goods. If the Buyer fails to make any payment on the due date, then without prejudice to any other right or remedy available to the Seller, the Seller shall be entitled to:
• Cancel the contract or suspend any further deliveries to the Buyer.
• Charge the Buyer interest at the rate of 2.5 per cent per month until payment in full is made.
In the event that the Seller shall cancel the contract under the provisions listed above, the Buyer shall not hold the Seller liable for any loss, costs, damages, charges or expenses incurred by the Buyer.
Quality Complaints
The Buyer must lodge quality complaints within 24hrs of the delivery of the Goods, after which the Buyer will be liable for the full amount of the invoice. Complaints must be uploaded onto the Seller’s website under the Buyer’s profile. The complaints must be accompanied by pictures and a description of the complaint.
